Terms of Service

These Terms explain the rules for using Luma, what you can expect from us and what we expect from you.
1. Agreement
These Terms of Service (“Terms”) are an agreement between you and Noblegate Holdings, LLC (“Luma”, “we”, “us”) and govern your use of Luma Reports. By creating an account or using Luma, you agree to these Terms and to our Privacy Policy. If you use Luma for a company, you agree on its behalf and confirm you have authority to do so.
2. The service
Luma provides software for documenting indoor environmental inspections and creating and delivering reports.
Early access. While Luma is in early access, features may change, may be limited or may be unavailable at times. We’ll give reasonable notice before removing a significant feature where we can.
3. Accounts
- You must be at least 18 and give accurate information.
- Keep your login details secure. You’re responsible for activity under your account.
- Firm administrators manage their firm’s users and are responsible for who has access.
4. Your professional responsibility
Luma is a tool that helps you document and communicate your work. It doesn’t inspect properties, and it doesn’t provide environmental, medical, legal or engineering advice.
You are solely responsible for your inspections and for every finding, conclusion, recommendation and report you issue, including complying with the licensing requirements, professional standards and laws that apply to your work.
5. AI features
Luma’s AI features help organize and reword what you provide. AI output can be inaccurate or incomplete. Luma includes safeguards, such as keeping measurements and qualifying language unchanged and marking drafted content until you confirm it, but these don’t guarantee accuracy.
You must review and approve all content before you send a report, and you remain responsible for it.
6. Your content
- You own the content you and your clients put into Luma (“Customer Content”).
- You give us permission to host, process, transmit and display Customer Content only as needed to provide and support Luma.
- You confirm you have the rights and permissions needed for your content, including any notices or consents required to photograph properties, record audio in them, and share your clients’ information with us.
- We don’t use Customer Content to train AI models.
7. Report delivery
You choose who receives your reports. Report links can be opened by anyone who has them until they expire or you turn them off. You’re responsible for sending reports to the right people.
8. Acceptable use
You agree not to:
- Use Luma for anything unlawful, deceptive or harmful, including issuing falsified findings.
- Upload content you don’t have the right to share, or content containing malware.
- Try to access other firms’ data, get around security, or disrupt the service.
- Copy, reverse engineer, scrape or resell Luma, except as the law expressly allows.
9. Fees
[During early access, Luma is provided at no charge / at the price shown when you sign up.] For paid plans, fees are billed in advance for each billing period and renew automatically until cancelled. Fees don’t include taxes and are non-refundable except where the law requires. We’ll give at least [30] days’ notice before a price change takes effect.
10. Our property and feedback
Luma, including its software, design and brand, belongs to us and our licensors. If you send us ideas or feedback, we may use them without obligation to you.
11. Third-party services
Luma relies on third-party providers, such as hosting, AI and email services, and may let you connect other tools. Your use of any service you connect is also subject to that provider’s terms.
12. Cancellation and termination
You can close your account at any time. We may suspend or end access if you break these Terms, if your use creates a security or legal risk, or if we discontinue Luma, with notice where reasonable.
After your account closes, you’ll have [30] days to export your content. After that, we delete it as described in our Privacy Policy.
13. Disclaimers
Luma is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don’t guarantee that Luma will be uninterrupted or error-free, or that any report or AI output will be accurate or complete.
14. Limitation of liability
To the extent the law allows, Luma won’t be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to Luma is limited to the greater of the amount you paid us in the 12 months before the claim or $100.
15. Indemnification
You’ll defend and indemnify Luma against third-party claims arising from your inspections, reports or professional services, your content, or your violation of these Terms or the law.
16. Governing law and disputes
These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in [COUNTY, STATE], and both parties consent to that jurisdiction. [Optional: arbitration clause.]
17. Changes to these Terms
We may update these Terms. We’ll post changes here and update the date above, and we’ll give notice of significant changes by email or in Luma before they take effect. Continuing to use Luma after that means you accept the updated Terms.
18. General
These Terms and our Privacy Policy are the entire agreement between you and Luma about the service. If any part is unenforceable, the rest still applies. Not enforcing a term isn’t a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger or sale. Neither party is responsible for delays caused by events beyond its reasonable control.
